PROGRAM TERMS AND CONDITIONS
Rhode Island Energy ConnectedSolutions Battery Program
Below are the full participant Terms and Conditions (“Terms”) for the ConnectedSolutions Battery Program (“Program”). This is a Distributed Power Plant (DPP) Optimization program that allows you to earn rewards for sharing energy from your battery system on the hottest days of the year to reduce stress on the grid.
Eligibility.
To become a Participant in the Program, a qualifying Sunrun battery system customer must have a compatible device installed and operational (“Device”). Upon activation of the battery system, or as soon as practicable thereafter, Sunrun will submit an application to enroll the Device in the Program, and it must be accepted by both the Sponsor and the Program Administrator (as each is defined in the Contacts below).
Participants must meet the following additional eligibility criteria and agree to do the following:
Be at least 18 years of age;
Have one or more Device(s) that are installed, operational, compatible with and connected to the Sunrun platform (“Service”) located in an eligible ConnectedSolutions service territory and compatible with the Program design;
Have an active customer agreement in good standing with Sunrun;
Accept these Terms and Conditions, and be approved by the Sponsor;
Have an active electric account with Rhode Island Energy in the state of Rhode Island
Be responsive and provide access for device troubleshooting efforts by Sunrun when resolving connectivity, firmware and other Device-related issues during the Program Period;
2. Program Period.
By enrolling, Participants authorize Sunrun to operate their battery system (“Device”) for up to 10 years from the date of enrollment. Enrollment is subject to Sunrun’s discretion to continue operating this program. Sunrun reserves the right to amend these Terms, suspend or discontinue program participation at any time during the Program Period, and/or amend the Program Period.
Participants may be automatically re-enrolled in subsequent Program Periods at Sponsor’s discretion, subject to the then-current Terms for the Program.
3. Unenrollment/Withdrawal.
Participants may opt out of the Program at any point, by contacting Sunrun at grid@sunrun.com. Opting out prior to the end of the Program Period or during a Performance Season may result in no longer being eligible for the Reward.
4. Program Description and Battery Behavior.
Participants agree to allow Sunrun, on behalf of the Sponsor, to control the Participant’s Devices during the Program Period. Such adjustments are referred to as “Grid Events.” Grid Events may signal the Device to charge, discharge, or change its mode of operation, change device mode, setpoint, or other settings. For certain types of services offered by the Sponsor Parties, a Grid Event may occur even if the Device is in any kind of hold mode at the start of the Grid Event.
Sunrun will control and monitor the battery system, providing a completely hassle-free experience. During a Grid Event, Device(s) will be programmed to send energy to the Participant’s home with any excess energy being directed to the local grid. The system will reserve 20% of the batteries’ nameplate energy to provide backup power in the case of a power outage.
Device(s) will participate in Grid Events during the summer Performance Season:
Performance Season | Time Range and Duration for Grid Events | Number of Grid Events Per Season |
June 1 - September 30 | 3:00PM - 8:00PM; Up to 3 hours | Max. 60 |
On Grid Event days, Device settings may be overridden to satisfy event requirements. On non-event days, Device(s) will continue default settings.
Device(s) will not send any energy to the grid during a power outage. Storm Mode (an automatic Sunrun setting for LG, SolarEdge and Franklin batteries) or Storm Watch (if enabled in the Tesla app for Powerwall) will keep Participant home’s prepared for storms.
When the Program Period is complete or terminated, all battery systems will automatically resume pre-program modes of operation.
5. Reward and Payment.
Participants with a battery manufacturer of Tesla Powerwall or FranklinWH that remain enrolled for the entirety of each Performance Season will earn a reward of $5400 per Device for each year of participation during the Program Period. Participants with a battery manufacturer of SolarEdge or LG that remain enrolled for the entirety of each Performance Season will earn a reward of $3250 per Device for each year of participation during the Program Period. The Reward has a 5-year price lock beginning in the first year of participation, and is subject to a variable rate thereafter.
Within six (6) months of the end of each Performance Season, following successful first-year enrollment, Participants will receive an email from Sunrun, or an authorized third-party vendor, with instructions to obtain a prepaid gift card by mail or electronic delivery.
Sunrun reserves the right to report all payments as income where required by law. Sunrun reserves the right, in its sole discretion and without prior notice, to suspend or cancel the promotion, or substitute the Reward for any reason. The Reward is associated with the Device, not the customer, as such whomever is the active account holder with Sunrun at the time of the promotion disbursement will receive the reward instructions.
6. Data Sharing and Privacy Notice.
Participants authorize the Sponsor Parties to: 1) collect and exchange data related to identity, opt-in or opt-out status, energy usage and/or energy production, Program Administrator account, electric bill, and operational data about the Devices (collectively, “Program Data”), solely for the purposes of determining eligibility for the Program and operating the Program; 2) review and analyze all Program Data for the purposes of the Sponsor fulfilling their obligations under the Program and applicable law, improving the Program and as otherwise permitted by applicable law, and to exchange conclusions with each other and publish results based on those conclusions, provided that they treat all such Program Data in accordance with their respective privacy policies; 3) automatically signal Devices to take part in events for this Program or for general system testing purposes; 4) send emails, text messages, pre-recorded messages and other notifications related to the Program, including about enrollment status and Program-related adjustments to the Devices; 5) send emails, text messages, pre-recorded messages and other notifications related to surveys about the Program and to share responses to such surveys among the Sponsor Parties; 6) summarize the results of the Program in publicly-available studies, provided that any Program Data included in such studies will be anonymous such that Participants are not individually identifiable.
Participants agree that the Sponsor Parties may collect the above listed personal information or data and that if they cannot collect the required information or data, Participants may not be eligible to participate in the Program. Sponsor Parties will protect personal information and usage data consistent with these Privacy Policy Terms and each Sponsor Parties’ then-current privacy policy. As a reminder, Sunrun will handle any personal information or data according to our privacy policy.
7. Disqualification.
The Sponsor Parties may terminate a Participant’s involvement in the Program and their eligibility for any Reward at any time and without liability. This may occur if a Participant: (1) tampers or attempts to tamper with the operation of the Program; (2) provides any false information; (3) violates these Terms or applicable law; (4) fails to comply with any reasonable request from a Sponsor Party related to the Program; (5) is declared ineligible for the Program by the Program Administrator; (6) no longer has an account in good standing with the Sponsor, Provider, or Sunrun; (7) does not maintain a continuous connection between their enrolled device(s) and the Service; or (8) enrolls in a conflicting energy program through Sponsor Parties. Disqualification from the Program will not affect a Participant's payment obligations for their Sunrun battery system, and their Sunrun customer agreement will remain in effect.
8. Program Termination.
Sponsor's ability to offer the Program is contingent on receiving certain approvals and acceptances from the Program Administrator. If such approvals and acceptances are withheld or withdrawn, or if the Program is declared unlawful, the Program will be terminated along with the Reward. In the event of such termination, Sunrun will provide notice by email, and Sponsor will provide notice at www.energyhub.com. Termination of the Program will not affect payment obligations for the Sunrun battery system, and the Sunrun customer agreement will remain in effect.
9. Changes in Electricity Costs.
Sunrun and the Sponsor Parties are not responsible for any changes in electricity costs during the Program.
10. Representations.
Participants represent and warrant to Sponsor that the information provided to Sponsor while applying for and during the course of the Program is accurate and complete, and agree to promptly notify Sponsor if any information provided during the application for the Program has changed.
These Terms constitutes the entire agreement between Sponsor and a Participant relating to the subject matter hereof and supersedes all other such prior or contemporaneous oral and written agreements.
11. General Conditions.
This Program is governed by the laws of the State of Rhode Island without regard to its applicable principles of conflicts of law. The Sponsor Parties’ failure to enforce any term of these Terms shall not constitute a waiver of that provision. THE SPONSOR PARTIES (AND EACH OF THEIR RESPECTIVE AFFILIATES, AGENTS, DIRECTORS, OFFICERS, AND EMPLOYEES) ARE NOT RESPONSIBLE OR LIABLE FOR ANY INCORRECT OR INACCURATE PROGRAM APPLICATION INFORMATION, AND ASSUME NO RESPONSIBILITY FOR (I) TYPOGRAPHICAL OR OTHER ERRORS IN THE PRINTING OF THE PROGRAM MATERIALS OR THE OFFERING OR ANNOUNCEMENT OF ANY REWARD, (II) ANY ERROR, OMISSION, INTERRUPTION, DEFECT OR DELAY IN OPERATION OR TRANSMISSION AT ANY WEBSITE, (III) FAILURE OF ANY APPLICATION TO BE RECEIVED BY SPONSOR DUE TO TECHNICAL PROBLEMS, TELEPHONE SERVICE PROBLEMS, PRINTING ERRORS, HUMAN ERROR OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE, (IV) COMMUNICATIONS LINE, HARDWARE AND/OR SOFTWARE FAILURES, (V) DAMAGE TO ANY COMPUTER OR DEVICE (SOFTWARE OR HARDWARE) RESULTING FROM PARTICIPATION IN THE PROGRAM, (VI) THEFT OR DESTRUCTION OF, TAMPERING WITH, UNAUTHORIZED ACCESS TO, OR ALTERATION OF APPLICATIONS AND/OR PROGRAM APPLICATION INFORMATION, OR (VII) APPLICATIONS WHICH ARE LATE OR LOST, OR (VIII) ANY LOSS OF INCOME DUE TO DEVICE CONTROL.
12. Changes to the Terms.
Sponsor may modify these Terms at any time with notification by email at the most current email address that it has on record, including the effective date of the modified Terms, which will be after the date of the notice. Participation thereafter signifies acceptance to such modified Terms. The modified Terms will apply only to disputes that arise after the effective date of such modified Terms. Provider will also post the most current version of the Terms on its website, which Participants are encouraged to check frequently:
